Public Offer Agreement

This document is the official public offer of Kateryna Bykova, a registered sole proprietor in Ukraine (hereinafter the “Contractor”), to provide services in digital marketing, automation and setting up technical solutions for business. In accordance with Article 641 of the Civil Code of Ukraine, acceptance of the terms of this offer means concluding an agreement on the terms set out below.
1. General provisions
1.1. The Contractor provides services on the basis of this Public Offer Agreement (hereinafter the “Agreement”).
1.2. The Client is any individual or legal entity that has accepted the terms of this offer.
1.3. Acceptance means: payment of an invoice, contacting the Contractor via the Telegram bot, or written confirmation of the terms in a messenger.
1.4. From the moment of acceptance, the Client is deemed to have read the terms of this Agreement and to agree with them in full.

3. Subject of the Agreement
3.1. The Contractor undertakes to provide the Client with services in digital marketing and technical automation, in particular:
- Development and setup of chatbots
- Setup of targeted advertising on social media
- Implementation and setup of NetHunt CRM
- Setup of SendPulse services (CRM, email, SMS, automations)
- Development of automation systems on the Make (Integromat) platform
- Comprehensive implementation of a technical marketing system
3.2. The specific list, scope and cost of services are defined in an individual technical specification or commercial proposal, which forms an integral part of this Agreement.
4. Cost of services and payment
4.1. The cost of services is determined individually for each project based on the technical specification and agreed with the Client before work begins.
4.2. Payment is made on the basis of an issued invoice or the payment details provided by the Contractor.
4.3. Work begins after receipt of an advance payment in the amount agreed by the parties. The standard advance is 50% of the total cost of services.
4.4. The remaining amount is paid after the work is completed and the result is handed over to the Client.
4.5. For long-term projects or monthly support, the payment procedure is agreed separately.
5. Rights and obligations of the Contractor
5.1. The Contractor undertakes to:
- Provide services of proper quality within the time frames agreed with the Client
- Keep the Client informed about the progress of work
- Keep information received from the Client confidential
5.2. The Contractor has the right to:
- Engage third parties for certain types of work without the Client's approval, while remaining responsible for the result
- Suspend work if payment is not received within the agreed time frames
- Refuse to perform the Agreement if the Client breaches its terms
6. Rights and obligations of the Client
6.1. The Client undertakes to:
- Provide the Contractor with the necessary materials, access and information in a timely manner
- Make payments within the agreed time frames
- Accept the completed work or provide reasoned comments within 3 working days
6.2. The Client has the right to:
- Receive information about the progress of work
- Request the elimination of defects identified upon acceptance
7. Time frames
7.1. The time frame for each specific project is agreed individually before work begins.
7.2. Time frames may be extended by mutual agreement of the parties or if the Client fails to provide the necessary materials and access in time.
8. Delivery and acceptance of work
8.1. After completing the work, the Contractor notifies the Client that the result is ready.
8.2. The Client must accept the completed work or provide written comments within 3 working days.
8.3. If the Client provides no comments within 3 working days, the work is deemed accepted.
8.4. Comments within the scope of the technical specification are addressed by the Contractor free of charge. Changes beyond the agreed technical specification are paid for additionally.
9. Liability of the parties
9.1. The Contractor is responsible for the quality of the work performed in accordance with the agreed technical specification.
9.2. The Contractor is not responsible for the results of advertising campaigns, as they depend on market conditions, audience behaviour and other external factors beyond direct control.
9.3. The Client is responsible for the legality of the materials and information provided to the Contractor for the work.
9.4. The Contractor's total liability is limited to the amount actually paid by the Client for the relevant services.
10. Confidentiality
10.1. The parties undertake not to disclose confidential information received during their cooperation to third parties without the written consent of the other party.
10.2. The Contractor may mention the fact of cooperation with the Client in their portfolio unless the Client objects.
11. Force majeure
11.1. The parties are released from liability for failure to fulfil obligations in the event of force majeure: natural disasters, military actions, decisions of state authorities, etc.
11.2. A party affected by force majeure must notify the other party within 3 working days.
12. Dispute resolution
12.1. All disputes and disagreements between the Parties are resolved through negotiations.
12.2. If a dispute cannot be resolved through negotiations, it is referred to court in accordance with the current legislation of Ukraine.
13. Changes to the offer
13.1. The Contractor reserves the right to amend the terms of this offer. The current version is always published on this page.
13.2. Changes take effect from the moment of publication. Continuing cooperation after changes are published means the Client agrees to the updated terms.
